Introduction and Agreement

Welcome to Rise N Shine Services, LLC ("we," "us," "our," or "Rise N Shine"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Client") and Rise N Shine Services, LLC when you access our website at risenshineservices.com, book services, or engage with any of our offerings.

By using our website, scheduling consultations, purchasing services, or otherwise engaging with Rise N Shine Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services or website.

Description of Services

Rise N Shine Services, LLC offers the following services:

Student Loan Consultation

A focused 30-minute consultation for $97 designed to help you understand your student loan repayment options, consider consolidation strategies, evaluate income-driven repayment plans, and develop a personalized action plan. This service is educational and coaching-focused.

Financial Coaching

One-time or ongoing financial coaching sessions to help you plan, organize, and make thoughtful financial decisions. Topics may include budgeting, money mindset, goal setting, financial planning, and stewardship principles. Coaching is educational and supportive in nature.

Nonprofit Organization Formation Services

A done-for-you nonprofit formation package for $500 that includes preparation and filing of Articles of Incorporation, obtaining an Employer Identification Number (EIN), preparing and submitting the IRS Form 1023 or 1023-EZ application for 501(c)(3) tax-exempt status, and coordinating state charity registration support. We assist with document preparation and coordination but do not provide legal representation or legal advice. We are not a law firm.

No Legal, Tax, Investment, or Mental Health Advice

Client Responsibilities

As a client of Rise N Shine Services, you agree to:

• Provide Accurate Information: Share truthful, complete, and accurate information during consultations, coaching sessions, and on forms
• Make Your Own Decisions: Understand that you are ultimately responsible for your financial decisions and actions based on the educational information provided
• Consult Professionals: Seek advice from licensed attorneys, tax professionals, financial advisors, or other appropriate professionals when needed
• Communicate Respectfully: Engage with our team in a professional, respectful, and courteous manner
• Comply with Laws: Ensure that your use of our services and any actions you take comply with applicable laws and regulations

Payments, Fees, and Refunds

Pricing

Our services are offered at the following rates, subject to change:

• Student Loan Consultation: $97 per 30-minute session
• Financial Coaching: Pricing varies based on session length and package selected
• Nonprofit Organization Formation: $500 for the complete package

Payment is due at the time of booking or as otherwise agreed in writing. We accept payment via credit card, debit card, and other methods as indicated on our website or scheduling platform.

Cancellations and Rescheduling

We understand that schedules change. If you need to cancel or reschedule an appointment, please notify us at least 24 hours in advance. Cancellations made less than 24 hours before the scheduled appointment, or no-shows, may result in forfeiture of your payment or a rescheduling fee.

Refund Policy

• Student Loan Consultations and Coaching Sessions: If you cancel with at least 24 hours' notice before your scheduled session, you may receive a full refund or the option to reschedule. Cancellations with less than 24 hours' notice or no-shows are not eligible for refunds.
• Nonprofit Formation Services: Due to the administrative and filing work involved, payments for nonprofit formation services are generally non-refundable once work has begun. If you cancel your request before any work has been performed, you may receive a refund minus a $50 administrative fee. Once Articles of Incorporation have been filed, EIN obtained, or Form 1023/1023-EZ submitted, no refunds will be provided.

Refund requests must be submitted in writing to mslearbush@gmail.com. Refunds, if approved, will be processed within 10 business days.

Scheduling and Appointments

Appointments are scheduled through our online scheduling platform (such as GoHighLevel or similar tools). You will receive confirmation and reminder messages via email and/or text message. It is your responsibility to attend scheduled appointments on time. Repeated no-shows or late cancellations may result in a requirement to prepay for future sessions or denial of future services.

Results Not Guaranteed

While we strive to provide valuable education, guidance, and support, we cannot and do not guarantee specific outcomes or results. This includes but is not limited to:

• Approval of student loan repayment plans or loan forgiveness
• Approval of 501(c)(3) tax-exempt status by the IRS
• Approval of state charity registration
• Improved credit scores, debt reduction, or financial success
• Any particular financial, legal, or personal outcome

Your results depend on many factors outside our control, including your individual circumstances, decisions, actions, and external factors such as government policies and agency decisions.

Intellectual Property

All content on our website, including text, graphics, logos, images, tools, worksheets, templates, and other materials, are the property of Rise N Shine Services, LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, republish, download, display, post, transmit, or create derivative works from our content without our prior written permission. You may download or print content solely for your personal, non-commercial use, provided you do not modify it and retain all copyright and proprietary notices.

User Conduct and Prohibited Activities

You agree not to use our website or services to:

• Violate any local, state, federal, or international law or regulation
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Transmit any harmful, offensive, defamatory, obscene, or otherwise objectionable content
• Interfere with or disrupt our website, servers, or networks
• Attempt to gain unauthorized access to any part of our website or systems
• Use automated tools (bots, scrapers, etc.) to access our website without permission

We reserve the right to terminate or suspend your access to our services if you violate these Terms.

Third-Party Services and Links

Our website and services may integrate with or link to third-party platforms, tools, and services, such as GoHighLevel (for scheduling and CRM), payment processors, email marketing platforms, and external websites. These third-party services are governed by their own terms of service and privacy policies. We are not responsible for the practices, content, or services of third parties. Your use of third-party services is at your own risk.

Limitation of Liability

To the fullest extent permitted by law, Rise N Shine Services, LLC, its owner, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of our services or website, even if we have been advised of the possibility of such damages.

In no event shall our total liability to you for all claims arising out of or related to these Terms or our services exceed the total amount you paid to us in the six months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Rise N Shine Services, LLC and its owner, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of our services or website
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Any information or content you provide to us

Privacy and Data Protection
